Your responsibility

You are responsible for complying with all applicable employment, labor, anti-discrimination, and privacy laws.

What CODEX does not do

  • We do not review or approve applications.
  • We do not make hiring decisions.
  • We do not provide legal, HR, or compliance advice.

If CODEX is misused
We may suspend or terminate accounts that violate these Terms or applicable laws.

In short: CODEX provides the platform. You are responsible for how it's used.

Legal Terms (Binding)

1. Service Description

CODEX ("the Service") provides software that allows customers to create application forms, collect submissions, and review applicant information. CODEX does not participate in hiring decisions, applicant evaluation, or employment practices.

2. Account Registration and Authority

By creating an account, you represent that you have authority to bind the business or organization using the Service.

The customer is responsible for maintaining control of its account and authorized users. CODEX may require reasonable verification before granting access, transferring ownership, or restoring account control.

3. Customer Responsibility

You acknowledge and agree that you are solely responsible for:

  • the content of any applications, questions, or screening criteria you create;
  • all hiring, screening, and employment decisions;
  • compliance with all applicable local, state, federal, and international laws, including but not limited to employment, labor, anti-discrimination, and privacy laws.

CODEX does not monitor, review, or validate application content for legal compliance.

4. Data Ownership

Customers retain ownership of all application content and applicant data submitted through the Service. CODEX processes such data solely for the purpose of providing and improving the Service, as described in the Privacy Policy.

5. Prohibited Use

You may not use the Service to:

  • engage in unlawful discrimination or harassment;
  • violate employment, labor, or privacy laws;
  • collect information for fraudulent, deceptive, or unlawful purposes;
  • distribute spam, phishing content, or malicious materials;
  • impersonate another person or organization.

6. No Employment or Legal Advice

The Service does not provide legal, employment, HR, or compliance advice. Any templates, default content, or examples are provided for convenience only and should not be relied upon as legal guidance.

7. Service Availability and Disclaimer of Warranties

The Service is provided on an "as-is" and "as-available" basis. CODEX makes no warranties, express or implied, regarding availability, reliability, or fitness for a particular purpose.

CODEX does not guarantee uninterrupted service, error-free operation, or preservation of data.

8. Limitation of Liability

To the maximum extent permitted by law, CODEX shall not be liable for:

  • hiring decisions made by customers;
  • claims or disputes arising from application content or employment practices;
  • service interruptions, data loss, or technical issues;
  • customer misuse of the Service.

9. Indemnification

You agree to indemnify and hold harmless CODEX, its owners, affiliates, and representatives from any claims, damages, liabilities, or expenses arising from:

  • your use of the Service;
  • your application content;
  • your hiring or employment practices;
  • violations of these Terms or applicable laws.

10. Suspension and Termination

CODEX may suspend, restrict, decline, or terminate access to the Service at its sole discretion if it believes an account violates these Terms, applicable laws, or poses risk to the Service or others.

Platform Integrity

CODEX reserves the right to decline, restrict, or remove accounts or applications that materially impact the stability, security, reputation, or operational integrity of the Service.

11. Changes to the Service or Terms

CODEX may modify the Service or these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

Service Discontinuation

CODEX may discontinue the Service, in whole or in part, at any time. Where reasonably possible, we will provide advance notice and an opportunity to export data before permanent shutdown.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

Any disputes arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

13. Acceptance

By creating an account or using the Service, you acknowledge that you have read, understood, and agreed to these Terms of Service.
